Closing a company

Closing an OÜ that has traded is a liquidation, and it takes months. The law gives creditors time. We keep the figures and the filings straight while that time runs.

Two paths

If the company never started activity, the register has a shorter deletion that all shareholders and all board members sign together. We check that path before anyone votes.

A company that has traded goes through liquidation. Shareholders decide, usually with at least two-thirds of the votes. Liquidators are entered in the register. Often a sitting board member is the liquidator.

The four months

Liquidators publish a notice in Ametlikud Teadaanded and write to creditors they know. Creditors have four months from that publication to file claims. Known creditors are told directly. The four months are not a period we can shorten.

Count on more than half a year from the decision to the deletion application. Open annual reports are filed before the company can leave the register cleanly.

Our part

We prepare the liquidation accounts, the final report, the distribution plan and the tax filings that have to be clear before deletion. The liquidator and the shareholders sign. We do not replace the register, the tax authority or a notary.
